To support strategic governance, CDI Global BV has formalized two standing Board committees:
Nominating Committee
Chaired by the Board Chairman, this committee oversees the identification, evaluation, and nomination of Board candidates and successors for key leadership roles across the network, including Executive Managing Director, Strategic Leaders of Investment Banking and Corporate Development, and Regional Managing Directors.
Network Expansion Committee
Chaired by the Chief Strategy Officer, this committee provides strategic oversight of CDI Global's growth and expansion over a 3–5 year horizon. Responsibilities include guiding the network expansion plan, reviewing prospective member firms, evaluating partnerships or mergers, and monitoring progress toward expansion goals.
Board Governance and Charter
The CDI Global BV Board Charter establishes the governance framework, responsibilities, and operating principles of the Board, ensuring alignment with Dutch law, company Articles of Association, the Organisation Agreement, and shareholder resolutions. The Charter reflects a governance philosophy that balances the independence of member firms with the protection of the CDI Global brand, reputation, and long-term sustainability.
Key Board responsibilities include setting strategic direction, overseeing network expansion, protecting the brand and professional standards, financial oversight, and managing risk. Certain decisions—such as approving strategy, budgets, membership changes, governance amendments, or major structural transactions—are reserved for the Board and may not be delegated.
