Andersen Announces Pricing of Initial Public Offering

Andersen Group Inc. (“Andersen”), a leading provider of independent tax, valuation and financial advisory services to individuals and family offices, businesses and funds in the United States, today announced the pricing of its initial public offering of 11,000,000 shares of its Class A common stock, at a public offering price of $16.00 per share. The gross proceeds from the offering are expected to be $176.0 million, without giving effect to the underwriters’ option to purchase additional shares and before deducting underwriting discounts and commissions and other offering expenses. In addition, Andersen has granted the underwriters a 30-day option to purchase up to an additional 1,650,000 shares of its Class A common stock at the initial public offering price, less underwriting discounts and commissions. The shares are expected to begin trading on the New York Stock Exchange on December 17, 2025 under the symbol “ANDG.” The offering is expected to close on December 18, 2025, subject to the satisfaction of customary closing conditions.

Morgan Stanley and UBS Investment Bank are acting as lead book-running managers for the offering. Deutsche Bank Securities, Truist Securities and Wells Fargo Securities are acting as book-running managers for the offering. Baird and William Blair are acting as additional book-running managers for the offering.
