Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
(d) At its regularly scheduled meeting on December 12, 2006, the Board of Directors of Orchids Paper Product Company (the “Company”), pursuant to its bylaws, resolved to increase the size of the Board of Directors of the Company to six members and appointed Jay Shuster to the Board of Directors of the Company to fill the vacancy. In accordance with the Company’s policy for its independent directors, upon his appointment to the Board of Directors the Company awarded Mr. Shuster an option to purchase 3,750 shares of common stock.
A press release announcing Mr. Shuster’s appointment to the Board of Directors was issued by the Company on December 12, 2006, and is attached hereto as Exhibit 99.1 and incorporated herein by reference.
