EXPLANATORY NOTE

Stanley Black & Decker, Inc. (the “Company”) hereby amends and supplements its registration statement on Form 8-A originally filed with the Securities and Exchange Commission on November 1, 1985 (the “Registration Statement”), as follows:

Item 1.  Description of Registrant’s Securities to be Registered.
 
Item 1 to the Registration Statement is hereby amended to show that the number of shares of Common Stock, par value $2.50 a share, authorized for issuance is 300,000,000 pursuant to an Amended Certificate of Incorporation filed by Stanley on March 12, 2010.  A copy of the Amended Certificate of Incorporation is attached hereto as Exhibit 4.1 and is incorporated by reference herein.
