Lisbon, Portugal, March 25, 2003 Portugal Telecom, SGPS, S.A. ("PT") (NYSE: PT; BVL: PTCO.IN) today announced that Telesp Celular Participações S.A. ("TCP") has celebrated yesterday the definitive share purchase and sale agreement regarding the acquisition of control of Tele Centro Oeste Participações S.A., as contemplated in the preliminary agreement and disclosed on January 16, 2003.
Transference of control will be effective after consummation of certain conditions precedent, including approval by ANATEL (the Brazilian Telecommunications Agency), at which time the definitive pricing terms will be determined and disclosed.
TCP is one of the companies that constitutes Brasilcel, the joint venture between PT and Telefónica Móviles for mobile operations in Brazil.
