Item 2.02.     Results of Operations and Financial Condition

On January 11, 2005, MapInfo Corporation issued a press release announcing an expected net charge in its first fiscal quarter ended December 31, 2004 relating to the write-off of the remaining value of its 49% equity investment in Alps Mapping Co. Ltd. The full text of the press release issued in connection with the announcement is attached as Exhibit 99.1 to this Current Report on Form 8-K.
