KKTCELL SIGNS AN 18 -YEAR LICENSE AGREEMENT

Subject: Statement made pursuant to Circular VIII, No: 39 of the Capital Markets Board.

Special Subjects:

Kibris Mobile Telekomunikasyon Limited Sirketi, (“KKTCELL”), our 100% owned subsidiary, that operates in the Turkish Republic of Northern Cyprus (“TRNC”), signed a License Agreement for Installation and Operation of a Digital, Cellular, Mobile Telecommunication System with the Ministry of Communications and Works of TRNC. As of the date of signing, the previous GSM-Mobile Telephony System agreement, which was signed on March 25, 1999, and based on revenue-sharing terms will be abolished. The new agreement will be valid for 18 years from the date of signing.

The license fee was set at US$30 million including VAT and KKTCELL paid US$15 million upon the signing of the Agreement and the remainder will be paid in 5 equal monthly installments. The license fee is planned to be financed by KKTCELL through internal and external funds.
