Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On May 29, 2009, Curtis Chinn resigned as Executive Vice President and Chief Risk Officer of Central Pacific Financial Corp. and Central Pacific Bank (collectively, the "Company") to be effective August 6, 2009.
 
Effective as of June 1, 2009, Mary A. Weisman has been appointed as interim Chief Credit Officer of the Company. Mrs. Weisman, age 50, has been the Executive Vice President, Credit Review Director from December 2008 to the present and the Senior Vice President, Risk Management Director from July 2007 to December 2008 of the Company.  From 1989 to 2007 she served in various positions at Bank of Hawaii and from 2003 to 2007 was the Executive Vice President, Credit Review Director at that bank. Mrs. Weisman will serve as Chief Credit Officer until the Company completes a search for a permanent replacement.
