Item 1.01. Entry into a Material Definitive Agreement.

At the annual meeting of the shareholders of Entergy Corporation on May 12, 2006, the shareholders approved the 2007 Equity Ownership and Long Term Cash Incentive Plan of Entergy Corporation and Subsidiaries (Effective for Grants and Elections On or After January 1, 2007).

A copy of the Plan was attached as Appendix B to Entergy Corporation's definitive proxy statement dated March 24, 2006.
