Item 7.01 Regulation FD Disclosure.
American Express Company (the "Company") announced today that it has
increased its return on equity target ("ROE") from 28-30% to 33-36%, on
average and over time. A copy of the press release announcing the increase of
the Company's ROE target is attached to this report as Exhibit 99.1 and is
hereby incorporated herein by reference.
