Explanatory Note
On January 25, 2008, Cole Credit Property Trust II, Inc. (the “Company”), filed a Current Report on Form 8-K (the “Initial Report”) with regard to discontinued operations. This Report on Form 8-K/A is being filed to amend and correct the date of the Consent of Independent Registered Public Accounting Firm. In all other respects, the Initial Report remains unchanged.

Other Events. |
In accordance with the United States Securities and Exchange Commission’s (the “SEC”) requirement for transitional disclosure, Cole Credit Property Trust II, Inc. (the “Company”) is filing this Current Report on Form 8-K/A to re-issue in an updated format the presentation of its historical financial statements for the year ended December 31, 2006, in accordance with the provisions of Statement of Financial Accounting Standards (“SFAS”) No. 144, Accounting for the Impairment or Disposal of Long-Lived Assets.
During the nine-month period ended September 30, 2007, the Company reclassified as held-for-sale a certain property. In accordance with SFAS No. 144, the Company reported revenues and expenses on the operating property held for sale as discontinued operations for the three-month and nine-month periods ended September 30, 2007 in its quarterly report on Form 10-Q filed on November 14, 2007 for the period ended September 30, 2007.
This current report on Form 8-K/A updates Item 15(a)(1) of the Company’s Annual Report on Form 10-K for the year ended December 31, 2006 to reflect the revenues and expenses of the property reclassified as held-for-sale during the nine-month period ended September 30, 2007 as discontinued operations for all periods presented. Except as described above, the information in this Current Report on Form 8-K/A does not include any adjustments or updates to any information presented in the Company’s consolidated financial statements or elsewhere in the Company’s Annual Report on Form 10-K for the year ended December 31, 2006. This reclassification has no effect on the Company’s previously reported financial position, cash flow, net income or net income per common share.
