On December 22, 2008, 1st Constitution Bancorp issued a press release announcing that its Board of Directors approved a 5% stock dividend payable February 2, 2009 to shareholders of record as of January 20, 2009.  A copy of the press release is attached and is being furnished as Exhibit 99.
