Appointment of Chief Accounting Officer
On October 22, 2018, CVS Health Corporation (CVS Health) announced that its board of directors approved the appointment of James D. Clark as Senior Vice President Controller and Chief Accounting Officer following the closing of the proposed acquisition of Aetna Inc. (Aetna) pursuant to the previously announced Agreement and Plan of Merger, dated as of December 3, 2017, among CVS Health, Aetna and Hudson Merger Sub Corp. (the Acquisition).
Mr. Clark, age 53, currently Vice President Finance and Accounting, has been appointed as Senior Vice President Controller and Chief Accounting Officer of CVS Health effective on the closing date of the Acquisition. Mr. Clark has held his current position at CVS Health since September 2009. Prior to that, Mr. Clark spent 22 years at Deloitte & Touche LLP, including eight years as an audit partner. Mr. Clark received a B.S. in Business Administration from San Diego State University and is a certified public accountant.
As previously announced, Eva Boratto, currently CVS Healths Controller and Chief Accounting Officer, will be appointed as Executive Vice President and Chief Financial Officer of CVS Health effective on the closing date of the Acquisition.
In connection with the appointment to his new position, Mr. Clarks annual salary will be increased to $400,000, and his 2018 target annual cash incentive award will be increased to 45% of his salary. In addition, he will continue to participate in CVS Healths equity incentive plans, including annual equity incentive awards and performance-based restricted stock awards, with an aggregate target of 137% of salary.
