On May 17, 2013, The ADT Corporation issued a press release announcing that it has extended its offer to exchange (the “Exchange Offer”) up to $700,000,000 aggregate principal amount of its outstanding $700,000,000 4.125% Senior Notes due 2023 for a like principal amount of its new $700,000,000 4.125% Senior Notes due 2023. A copy of the press release is furnished as Exhibit 99.1 to this current report and is incorporated herein by reference.
