Item 1.01. | Entry into a Material Definitive Agreement. |
On April 19, 2012, Jefferies Group, Inc. (the Company) entered into a purchase agreement (the Agreement) with Jefferies & Company, Inc. whereby the Company agreed to sell $200 million aggregate principal amount of its 6.875% Senior Notes due 2021 (the Notes) pursuant to the Companys Shelf Registration Statement on Form S-3, as amended (File No. 333-160214). The closing occurred on April 24, 2012. The Notes were offered as additional notes under an indenture, as supplemented by a supplemental indenture, pursuant to which the Company issued $400 million aggregate principal amount of Notes and $150 million aggregate principal amount of Notes on June 28, 2010 and July 19, 2010, respectively.
