Item 8.01. Other Events.

On March 10, 2009, Webster Bank, N.A., the wholly owned subsidiary of Webster Financial Corporation (the “Bank”), announced that it had commenced a fixed price cash tender offer (the “Tender Offer”) for any and all of its outstanding 5.875% Subordinated Notes due 2013 (the “Notes”). The principal amount of the Notes outstanding is $200 million. The consideration payable per $1,000 principal amount of the Notes is $800. In addition, the Bank will pay all accrued and unpaid interest on the Notes purchased pursuant to the Tender Offer up to, but not including, the settlement date, which is expected to be on or about March 20, 2009. Additional terms and conditions of the Tender Offer are set forth in the Offer to Purchase dated March 10, 2009 (the “Offer to Purchase”) and the related Letter of Transmittal.

The Tender Offer will expire at 5:00 P.M., New York City time, on Wednesday, March 18, 2009 unless extended or earlier terminated (the “Expiration Time”). Under certain circumstances, and as more fully described in the Offer to Purchase, the Bank may terminate the Tender Offer before the Expiration Time. Any tendered Notes may be withdrawn prior to, but not after, the Expiration Time, and withdrawn Notes may be re-tendered by a holder at any time prior to the Expiration Time. The Bank expects to use available cash to pay the purchase price and accrued and unpaid interest for all Notes that it purchases pursuant to the Tender Offer. The Notes purchased pursuant to the Tender Offer are expected to be cancelled.
