Item 8.01 Other Events.

On August 10, 2007, Valassis Communications, Inc. (“Valassis”) issued a press release announcing the extension of its exchange offer for its outstanding 8 1/4% Senior Notes due 2015. The exchange offer is now scheduled to expire at 5:00 p.m., New York City time, on August 15, 2007. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
