An Agreement to sell 87.5% of the Shares of Dankner Investments – Matav’s Major
Shareholder to Delek Real Estate

        NETANYA, Israel, May 31, 2004 – Matav-Cable Systems Media Ltd. (Nasdaq: MATV), a leading Israeli provider of digital cable television services, today announced that its major shareholder, Dankner Investments Ltd. (“Dankner”) today announced that its controlling shareholders, the Dankner and the Gineo families, have signed an agreement with Delek Real Estate Ltd. to sell approximately 87.5% of Dankner’s outstanding ordinary shares to Delek Real Estate in consideration for approximately US$58.5 million (“The Agreement”). The transaction is subject to certain regulatory approvals. According to the Agreement, if all the conditions are not fulfilled until a date determined between the parties, there still remains a possibility, subject to conditions defined in the Agreement that Delek Real Estate will purchase from the sellers 20%-25% of Dankner’s outstanding ordinary shares.

Matav is one of Israel’s three cable television providers, serving roughly 25 percent of the population. Matav’s investments include 5.3 percent of Partner Communications Ltd., a GSM mobile phone company and 10 percent of Barak I.T.C. (1995), one of the three international telephony providers in Israel.
