(1) | Each Performance Stock Unit represented a contingent right, which vested on April 1, 2010, to receive one share of the common stock of Ameron International Corporation (the "Company"). The actual number of shares received by the reporting person was determined on April 1, 2010 based on the closing price of the Company's common stock on March 31, 2010. 12,000 derivative securities previously issued to the reporting person did not vest because the performance conditions for vesting of that number of shares of the Company's common stock were not met. Such derivative securities were forfeited. |
