Item 5.02                                             Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

 

The Board of Directors announced that on April 20, 2006 Mr. Bezdek officially resigned as Chief Financial Officer and Secretary of Raining Data Corporation, effective May 5, 2006.

 

On April 24, 2006, the Board of Directors announced that Thomas G.C. Lim has accepted the position of Chief Financial Officer and Vice President of Finance. The transition will be complete by the end of May.
