Cardiovascular Systems Announces Exercise of Underwriters’ Option

Cardiovascular Systems, Inc. (CSI) (Nasdaq: CSII), a medical device company developing and commercializing innovative interventional treatment systems for patients with peripheral and coronary artery disease, today announced that the underwriters of its recent public offering of common stock have fully exercised their option resulting in the issuance of an additional 551,470 shares. The option was granted in connection with the public offering of 3,676,471 shares of its common stock at a price to the public of $34.00 per share, which closed on June 12, 2020.

The exercise of this option brings the total gross proceeds to CSI from the offering to approximately $143.7 million, before deducting underwriting discounts and commissions and offering expenses. As previously announced, CSI intends to use the net proceeds from the offering for working capital and general corporate purposes, which may include, but not be limited to, expansion of marketing programs, international expansion, new product development, clinical studies and publications, investments, acquisitions, or general working capital needs.

Barclays and SVB Leerink were the joint book-running managers for the offering. Guggenheim Securities and Stifel acted as co-managers.
