ICEsoft Technologies Canada Corp. Announces Private Placement

CALGARY, AB / ACCESSWIRE / February 25, 2020 / ICEsoft Technologies Canada Corp. (CSE:ISFT) (the "Company" or "ICEsoft") is pleased to announce its plans for a non-brokered private placement of up to 30,001,438 units (the "Units") through one or more closings, at a price of CAD $0.08 per Unit, which would raise aggregate gross proceeds of up to CAD $1,510,000 and provide for up to CAD $890,111 in debt settlement (the "Private Placement"). Each Unit will consist of (i) one common share in the capital of the Company (each, a "Common Share"), and (ii) one half of a common share purchase warrant (each full warrant, a "Warrant"), with each full Warrant entitling the holder to subscribe for one additional Common Share at an exercise price of CAD $0.12 per share at any time prior to the day that is 24 months from the grant of the Warrant.

It is anticipated that Company directors and/or officers and Related Persons shall participate in the Private Placement and shall purchase Units through a combination of cash payments and debt settlement. Total aggregate insider participation is expected not to exceed CAD$1,025,115.

As part of the anticipated Private Placement, the Company has entered into an agreement with Cormark Securities Inc. ("Cormark") to assist with the financing and has agreed to pay Cormark a cash commission equal to 7% of the gross proceeds from the Private Placement and grant the number of warrants (the "Finder Warrants") equal to 7% of the number of Units sold under the Private Placement that are sourced through Cormark. The Finder Warrants shall be exercisable for a period of 24 months following the last closing date of the Private Placement at an exercise price of $0.12 per Common share.

The net proceeds of the financing are expected to be used for general working capital and to accelerate sales and fund new market expansion efforts.

The Private Placement is anticipated to close through one or more closings with an anticipated first closing to occur on or about Friday, March 6, 2020.

The securities issued pursuant to the Private Placement will be subject to a hold period under applicable securities laws, which will expire four months plus one day from the date of the applicable closing of the Private Placement. Closing of the Private Placement is subject to receipt of all necessary corporate and regulatory approvals, including approval of the Canadian Securities Exchange.
