ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS;
APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN
OFFICERS.
The terms of current directors Ronald L. Kuehn, Jr., Malcolm Portera, and
Robert R. Waller will expire at the 2007 annual meeting of stockholders to be
held in April, and they will not be nominated for reelection.
Each of Dr. Waller and Mr. Kuehn will have reached the respective
applicable mandatory retirement age as in effect at Regions and AmSouth
Bancorporation prior to the merger of Regions and AmSouth.
Dr. Portera has notified the Company of his intent to retire as a director.
