The foregoing percentage is calculated on the 20,458,518 shares of common stock reported to be outstanding by the Issuer on its most recently filed quarterly report on Form 10-Q for the quarter ended June 30, 2003 plus the shares underlying the related warrant to purchase 75,000 shares.
