U.S. Physical Therapy Inc.’s (the “Company”) Long-Term Incentive Plan (the “Plan”) was amended
by the Company’s Compensation Committee of its Board of Directors so as to assure compliance with
Internal Revenue Code 409A. The changes made were for tax purposes only and there were no changes
to the period covered, calculations, eligible participants or potential award amounts under the
Plan.
The LTIP is included as Exhibit 10.1 hereto and incorporated herein by reference.
