Financial Engines, Inc. (“Financial Engines”) held an Annual Meeting of Stockholders on May 11, 2011. There were 44,181,723 shares of common stock entitled to vote at the Annual Meeting of Stockholders, of which 40,853,129 shares were voted in person or by proxy.
