Item 1.01. Entry Into a Definitive Material Agreement.
On December 7, 2010, Insulet Corporation (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Canaccord Genuity Inc. (the “Underwriter”), for the sale by the Company to the Underwriter of 3,000,000 shares of common stock, par value $0.001 per share (the “Firm Shares”). The Firm Shares will be sold to the Underwriter pursuant to the Underwriting Agreement at a price of $13.266 per share. The offering is expected to close on or about December 13, 2010, subject to customary closing conditions. The Company has granted the Underwriter a 30-day option to purchase an additional 450,000 shares of common stock (together with the Firm Shares, the “Shares”).
The Underwriting Agreement contains customary representations, warranties and covenants by the Company. It also provides for customary indemnification by each of the Company and the Underwriter for losses or damages arising out of or in connection with the sale of the Shares.
The offering is being made pursuant to a registration statement on Form S-3 (File No. 333-158354) filed with the Securities and Exchange Commission (the “Commission”) on April 1, 2009, in the form in which became effective on April 8, 2009 (the “Registration Statement”), the prospectus included in the Registration Statement and a final prospectus supplement relating to the Shares filed pursuant to Rule 424(b)(5) of the Securities Act on December 8, 2010.
A copy of the Underwriting Agreement is attached as Exhibit 1.1 to this Current Report on Form 8-K and is incorporated herein by reference, and the foregoing description of the Underwriting Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the Underwriting Agreement.
Item 7.01. Regulation FD Disclosure.
On December 7, 2010, the Company issued a press release announcing the sale of 3,000,000 shares of its common stock pursuant to the Underwriting Agreement. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
