     On August 7, 2009, we issued a press release, pursuant to Rule 135c under the Securities Act of 1933, as amended, that announced a proposed private offering of senior notes issued by our wholly owned subsidiary, NII Capital Corp. and guaranteed by us and our other United States subsidiaries. A copy of the press release is being filed as an exhibit to this report and is incorporated by reference into this Item 8.01.
