CVRD files request for debentures public offer in Brazil
Rio de Janeiro, October 27, 2006 Companhia Vale do Rio Doce (CVRD) informs that it filed
today with Comissão de Valores Mobiliários (CVM), the Brazilian Securities Commission, a request
for a non convertible debentures public offer in the Brazilian market (debentures), in the amount
of R$ 5,000,000,000.00 (five billion Brazilian reais), according to the terms and conditions of CVM
Instruction number 400, dated December 29, 2003.
The funds generated from this issuance will be allocated to amortize part of the bridge loan
supplied by a syndicate of 37 banks to finance the acquisition of Inco Limited (Inco), as publicly
announced on October 26, 2006.
The refinancing of the bridge loan has the purpose to preserve CVRD average debt maturity close to
that registered before the acquisition of Inco shares, to maintain the Companys low risk debt
profile and minimize its weighted average cost of capital, assuring the consolidation of its good
reputation in the global financial markets.
IMPORTANT INFORMATION

the shares of Inco. On August 14, CVRD filed a tender offer statement on Schedule TO (containing
an offer to purchase and a takeover bid circular) with the United States Securities and Exchange
