Item 8.01. Other Events.

 

On August 2, 2017, PharMerica Corporation, a Delaware corporation (the “Company”), issued a press release announcing the entry into an Agreement and Plan of Merger, dated August 1, 2017 (the “Merger Agreement”), among the Company, Phoenix Parent Holdings Inc., a Delaware corporation (“Parent”), and Phoenix Merger Sub Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”), pursuant to which Merger Sub will be merged with and into the Company, with the Company continuing as the surviving corporation and as a wholly owned subsidiary of Parent (the “Merger”). Parent and Merger Sub are affiliates of investment funds affiliated with Kohlberg Kravis Roberts & Co. L.P. and, at the closing of the Merger, affiliates of Walgreens Boots Alliance, Inc. will acquire a minority ownership interest in Parent. The transaction is subject to the approval of the Company’s stockholders, regulatory approvals and other customary closing conditions as set forth in the Merger Agreement.
