Item 12. DISCLOSURE OF RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On May 13, 2004, Abraxas issued a press release announcing its results of
operations and financial condition for the quarter ended March 31, 2004. The
full text of the press release is attached hereto as Exhibit 99.1 and is
incorporated herein by reference. In accordance with SEC Release No. 33-8176,
the information contained in such press release shall not be deemed "filed" for
purposes of Section 18 of the Securities Exchange Act of 1934, as amended, nor
shall it be deemed incorporated by reference in any filing under the Securities
