Item 1.01. Entry into a Material Definitive Agreement.


Effective March 30, 2006, Research Frontiers Incorporated entered into a
non-exclusive worldwide license agreement with Dainippon Ink and Chemicals
Incorporated (DIC) granting DIC the license to manufacture and sell SPD
light-control film.

The foregoing description of the license agreement with DIC does not purport
to be complete and is qualified in its entirety by reference to the License
Agreement, a copy of which is attached as Exhibit 10.44 to this Current Report
on Form 8-K and incorporated herein by reference.
