Item 2.02 Results of Operations and Financial Condition.

On July 25, 2013, Maxim Integrated Products, Inc. (the "Company") announced via press release the Company's preliminary financial results for the fourth quarter of its 2013 fiscal year. A copy of the Company's press release is attached hereto as Exhibit 99.1.

Item 8.01 Other Events.

The Board of Directors of Maxim Integrated Products, Inc. (the “Company”) has authorized the repurchase of up to $1 billion of the Company's Common Stock. The stock repurchase authorization does not have an expiration date and the pace of repurchase activity will depend on factors such as current stock price, levels of cash generation from operations, cash requirements and other factors. The Company's prior repurchase authorization has been cancelled and superseded by this new repurchase authorization.
A copy of the press release announcing the stock repurchase program is being furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Form 8-K by reference.
