Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

 

On November 28, 2018, the Board of Directors of People’s Utah Bancorp (the “Company”) adopted the People’s Utah Bancorp Employee Stock Ownership Plan (the “Plan”). The Plan covers substantially all employees who are at least 18 years old, including the Company’s principal executive officer, principal financial officer and other named executive officers. The ESOP is trusteed by an independent trustee selected by the Company.

 

The foregoing description of the Plan is qualified in its entirety by reference to the Plan that is attached as Exhibit 10.1 to this Current Report on Form 8-K, and is incorporated by reference into this Item 5.02.
