On August 4, 2016, Evoke Pharma, Inc. (the “Company”) repaid in full the entire $4.5 million of outstanding principal and interest under the Loan and Security Agreement, dated as of May 28, 2014, as amended (the “Loan Agreement”), between the Company, as borrower, and Square 1 Bank, a division of Pacific Western Bank (“Square 1”), as lender. In connection with such repayment, the Loan Agreement was terminated, and all security, liens or other encumbrances on assets of the Company were released.
Descriptions of the terms and conditions of the Loan Agreement are set forth in the Company’s Current Reports on Form 8-K filed on May 28, 2014, October 7, 2015 and March 1, 2016 and the Company’s Quarterly Report on Form 10-Q filed on May 14, 2015 and are incorporated herein by reference.
