(1) | In the reported transaction, (i) BREP (GGP) VI L.P. sold 9,589,815 shares of common stock, par value $0.01 per share, of the Issuer (the "Common Stock"), (ii) BREP (GGP) VI-A L.P. sold 5,623,495 shares of Common Stock, (iii) BREP (GGP) VI.TE.1 L.P. sold 2,626,425 shares of Common Stock and (iv) BREP (GGP) VI.TE.2 L.P. (together with the entities in clauses (i) through (iii), the "Blackstone Funds") sold 5,592,068 shares of Common Stock. Following the reported transaction, each of the Blackstone Funds will not hold any shares of Common Stock.
