TERMS AND CONDITIONS OF ISSUANCE OF SUBORDINATED BONDS
(“BONOS SUBORDINADOS”)

Medellín, Colombia, May 8, 2007

The Board of Directors of BANCOLOMBIA S.A. determined the terms and conditions of the proposed issuance of subordinated bonds (“Bonos Subordinados”) that had been approved on December 18, 2006.

According to the approved terms and conditions, the bonds are expected to be issued in a single series and sold in an offer conducted outside of Colombia.

This press release shall not constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of these securities in any state or jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of such state or jurisdiction.
