Item 1.01 Entry into a Material Definitive Agreement.

On May 29, 2008, Wright Express Corporation (the "Company") entered into an Incremental Amendment Agreement (the "Agreement") with Bank of America, N.A., as administrative agent, swing line lender and letter of credit issuer; Banc of America Securities LLC; SunTrust Robinson Humphrey, a division of SunTrust Capital Markets, Inc., as joint lead arrangers and joint book managers; SunTrust Bank, Inc., as syndication agent; and other lenders under its credit agreement dated as of May 22, 2007 (the "2007 Facility"). The Agreement increases the aggregate revolving commitments under the 2007 Facility from $350 million to $450 million. This commitment increase occurred in accordance with the accordion feature in the 2007 Facility, which permitted the Company to increase the aggregate revolving commitments up to $100 million upon receipt of sufficient commitments. All other provisions of the credit agreement remained unchanged. The Agreement is attached as an exhibit to this Current Report on Form 8-K.
