Item 8.01 Other Events.

Effective August 15, 2007, Matthew Bucksbaum, Chairman of the Board of Directors of General Growth Properties, Inc. ("GGP") since July 9, 1995, advised the Board that he had decided to retire as Chairman of the Board of Directors. Mr. Matthew Bucksbaum will continue to serve as a director of GGP and will serve as Chairman Emeritus. The Board extended its gratitude and appreciation for his leadership and looks forward to his continued participation on the Board. The Board of Directors elected John Bucksbaum to serve as Chairman of the Board.
