DIRECTORS’ MEETING
CPFL Energia S.A. hereby informs its shareholders and the market in general that, at the 136th Board of Directors’ Meeting held on April 1, 2009, the following resolutions were made:
I. Approval: Creation of the Business Development Vice-Presidency and the consequent amendment of CPFL Energia’s Bylaws;
II. Ratification of the Acquisition of Electric Energy by CPFL Brasil for the months of March to December, 2009;
III. Approval: Contracting of a Bank Surety by CPFL Energia in favor of the BNDES related to the participation of Chapecoense in the Foz do Chapecó project;
IV. Approval and Vote Recommendation: Constitution of a surety by CPFL Energia for the issue of Promissory Notes by the subsidiaries CPFL Paulista, CPFL Geração, RGE, CPFL Leste Paulista, CPFL Sul Paulista and CPFL Jaguari;
V. Other matters not related to CVM Instruction 358/2002, as amended.
