OF DIRECTORS MEETING
CPFL Energia informs its shareholders and the market in general that at the 123rd Board of Directors Meeting, held on June 25, 2008, the following matters were resolved:
I. Approval: contraction of a Bank Surety to Foz do Chapecó (CPFL Energia);
II. Vote Recommendation: contraction of a Bank Surety (CPFL Paulista);
III. Vote Recommendation: declaration of Interest on Own Capital of subsidiaries (CPFL Paulista, CPFL Piratininga, CPFL Geração, CPFL Santa Cruz and RGE);
IV. Vote Recommendation: capital reduction (CPFL Santa Cruz);
V.
Vote Recommendation: renewal of the Power Energy Purchase and Sell Agreement with CESP (CPFL Sul Paulista, CPFL Jaguari, CPFL Leste Paulista and CPFL Mococa);
