(1) Shares vest ratably over five years with 20% of the options becoming exercisable at the end of each year.
(2) Fully vested and exercisable.
 
Remarks:
This Amendment to Form 4 is being filed to correct an inadvertent disclosure.  Mr. Moss did not receive a Nonqualified Stock Option on December 12, 2011 and he currently holds no Nonqualified Stock Options.
