Item 1. Security and Issuer 

This statement relates to the Common Stock, $0.01 par value per share, of First Bancshares, Inc., a Missouri corporation  (the “Company”), whose principal executive offices are located at 142 East First Street, P.O. Box 777, Mountain Grove, MO 65711.

(d)    During the last five years, the Reporting Person has not been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors).

 

(e)    During the last five years, the Reporting Person has not been a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and, as a result of such proceeding, been subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.

Item 3. Source and Amount of Funds or Other Considerations

 

All 78,865 shares beneficially owned by Mr. Sight were purchased with his personal funds in open market transactions, at an aggregate purchase price of approximately $1,303,920.

 

Item 4. Purpose of Transaction

 

Notwithstanding the recent management changes, which should positively affect the future operations of the Company, Mr. Sight believes that the Board of Directors should go further and explore other strategic alternatives.  The size of the Company does not lend itself to providing a suitable return to the stockholders in today's competitive operating environment.  The market place has been valuing the Company at or below book value, and there have been several transactions in the Springfield, MO and northern Arkansas markets at tremendous premiums over the value of the Company's stock.

 

There are several regional investment firms that specialize in creating transactions that would benefit all of the Company's stakeholders: employees, business communities, and stockholders.  The Board should proactively proceed to unlock the value of the Company while larger, stronger institutions are actively seeking consolidation opportunities.
