Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 11, 2019, Mr. Alex Pinchev resigned from the Board of Directors effective immediately to pursue other interests.

On April 11, 2019, Mr. Adalio Sanchez resigned from the Board of Directors effective immediately to pursue other interests.

Neither Mr. Pinchev nor Mr. Sanchez resigned as a result of a disagreement with the Company or the Board.

 

Item 7.01

Regulation FD Disclosure.

On April 11, 2019, the Company issued a press release announcing the election of John A. Fichthorn to the Board of Directors, previously reported in the Company’s Current Report on Form 8-K dated April 10, 2019, and the resignations of Messrs. Pinchev and Sanchez from the Board. A copy of the press release is attached hereto as Exhibit 99.1, and is deemed to have been furnished in connection with this Current Report on Form 8-K.
