This filing relates to the proposed transaction between SJW Group (“SJW Group”) and Connecticut Water Service, Inc. (“CTWS”) pursuant to the Agreement and Plan of Merger, dated as of March 14, 2018, among SJW Group, Hydro Sub, Inc. and CTWS.

Update on Merger with SJW Group

On Friday evening, Eversource announced its plan to launch a “proxy contest” in opposition to our pending merger with SJW Group. Through this contest, Eversource is attempting to dissuade Connecticut Water shareholders from voting “FOR” our combination with SJW Group. They have created a website ‘betterctwater.com” and have launched their own media campaign to try to generate support for their unsolicited proposal.

We are clearly disappointed that Eversource has decided to pursue this path but remain committed to our path forward with SJW as the best option for our customers, employees and shareholders.

As we stated in our press release issued today, we believe Eversource’s campaign is an overt attempt to promote its inferior proposal and distract from its record of chronic underperformance and highly-publicized poor customer service. We will continue to contrast their performance with the strong results of our teams in delivering safe reliable water service to our customers and communities, our commitment to the environment and our record of delivering value for our shareholders.

To reiterate, the Board and the leadership team continue to believe SJW Group is the ideal partner for Connecticut Water, and we are moving forward on the path to complete the merger of equals including conducting outreach and communications, filing the Form S-4 with the SEC and preparing the associated regulatory filings.

We expect there to be continued public dialogue between the companies and media coverage as part of this process. While we will not be sending direct communications to you regarding every piece of news, we will ensure that your leaders are regularly updated and will keep you informed of important milestones. Feel free to reach out to your local leader if you hear things that raise questions or concerns.

In the coming weeks, Connecticut Water shareholders, including employee shareholders, will receive materials on how to vote and support our exciting merger with SJW Group. However, there is nothing for shareholders to do with respect to the merger proposal at this time. Stay tuned.
