Item 1.01. Entry into a Material Definitive Agreement

On March 4, 2016, Nanophase Technologies Corporation (the “Company”) entered into a Business Loan Agreement and a Change in Terms Agreement (collectively, the “Line of Credit Agreement”) with Libertyville Bank and Trust Company, a Wintrust Community Bank (“Libertyville”), the Company’s primary bank. This Line of Credit Agreement replaces the Company’s previously disclosed line of credit agreement with Libertyville, which expired on March 4, 2016. This Line of Credit Agreement has the same terms as the expired agreement but extends the expiration date to March 4, 2017.

Under the Line of Credit Agreement, Libertyville will provide a maximum of $300,000 or 75% of the Company’s eligible accounts receivables, whichever is less, of revolving credit to the Company, collateralized by a senior priority lien on the Company’s accounts receivables, inventory, equipment, general intangibles and fixtures. Interest is payable monthly on any advances at a floating interest rate of Prime plus 1%. The Company must have $1 million in cash, inclusive of the borrowed amount, at Libertyville on the date of any advance. Advances may only occur at the beginning or end of a fiscal quarter and must be repaid in full within five days of the advance. The Company intends to utilize this borrowing capacity for short-term working capital needs on an as-needed basis.

Copies of the Business Loan Agreement and the Change in Terms Agreement are filed as Exhibits 10.1 and 10.2, respectively, and are incorporated herein by reference.
