EXPLANATORY NOTE
Financial Engines, Inc. (the Registrant) is filing this Registration Statement on Form S-8 with the Securities and Exchange Commission (the Commission) to register: 414,000 aggregate shares of the Registrants common stock which may be issued upon the exercise of stock options or restricted stock units issued as inducement grants to one of the Registrants employees.
