Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On August 1, 2011, Steve Scott, Cray Inc.’s (the “Company’s”) Senior Vice President and Chief Technology Officer (“CTO”), informed the Company that he will leave the Company effective August 12, 2011. Mr. Scott will be taking a senior position at a technology partner of the Company. The Company greatly appreciates Mr. Scott’s service as CTO and thanks him for his leadership contributions during his tenure.
