ITEM 2.02 Results of Operations and Financial Condition

On September 16, 2010, Energen Corporation issued a press release announcing that it will incur a non-cash write-off of unproved capitalized leasehold associated with the remainder of its Alabama shale leasehold. The non-cash charge will total $14.4 million after-tax or 20 cents per diluted share. The press release is attached hereto as Exhibit 99.1.
