Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On January 28, 2010 the Board of Directors nominated Mark D. Burish for election as a Class II member of the Board of Directors of Sonic Foundry at the upcoming shareholders meeting on March 4, 2010. Arnold B. Pollard will not sit for reelection.
